These Terms of Service ("Terms") govern your use of PandaPad ("we", "our", "us") at pandapad.io and app.pandapad.io (the "Service"). By accessing or using the Service, you agree to be bound by these Terms.

1. Beta Service

The Service is currently offered as a public beta. During the beta period, the Service is provided free of charge. We reserve the right to introduce paid plans, modify features, or discontinue the beta program at any time with or without notice. The Service may experience temporary interruptions, downtime, or degraded performance as we continue to develop and improve it. We make no guarantees regarding uptime, availability, or data retention during the beta period.

Access to certain features requires an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4. Your Data

You retain all rights to the data you process through PandaPad. Datasets are processed locally in your browser and are not uploaded to our servers. Workflows, saved steps, and library items associated with your account may be stored on our servers to provide the Service.

Workflows and transformations you create are yours to use, export, and distribute as you see fit. You are responsible for maintaining backups of any exported scripts or data.

5. AI-Generated Code

Code generated by the AI feature is provided as-is. You are responsible for reviewing and testing any generated code before using it in production. We make no warranties regarding the correctness, completeness, or suitability of AI-generated output.

6. Intellectual Property

The Service, including its design, features, and underlying technology, is owned by PandaPad. Nothing in these Terms grants you rights to our trademarks, logos, or other brand features.

7. Indemnification

You agree to indemnify and hold harmless PandaPad and its affiliates, officers, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Service or violation of these Terms.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, PandaPad shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of the Service.

In no event shall PandaPad's total liability for any claims arising out of or relating to the Service exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid to the Service in the twelve (12) months preceding the claim.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service will immediately cease.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date above. Continued use of the Service after changes constitutes acceptance of the revised Terms.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved in the state or federal courts located in Washington.
